Welcome to Synex Nepal. These Terms & Conditions (“Terms”) govern your use of our website ([Insert Website URL]) and the provision of our Managed IT Services, IT consulting, cybersecurity, cloud solutions, and related support services (collectively, the “Services”).

1. Definitions

“Agreement” refers to these Terms & Conditions, alongside any Master Services Agreement (MSA), Statement of Work (SOW), or Service Level Agreement (SLA) signed between the Client and Synex Nepal.
2. Scope of Services
Synex Nepal provides Managed IT Services which may include, but are not limited to, network monitoring, helpdesk support, cybersecurity management, data backup, and cloud infrastructure management.

The specific Services provided to you will be detailed in a separate Statement of Work (SOW) or quote.

Any requests outside the agreed scope of work will be subject to additional fees.
3. Client Obligations
To ensure we can provide optimal service, the Client agrees to:

Provide Synex Nepal with necessary access to premises, networks, hardware, and administrative credentials required to perform the Services.

Ensure all software and third-party systems used by the Client are properly licensed.

Promptly notify us of any IT issues, security breaches, or changes to the network environment.

Maintain an independent backup of critical data unless data backup is explicitly included in the purchased Services from Synex Nepal.
4. Payment & Billing Terms

Invoicing: Services are billed as outlined in your specific SOW or MSA. Managed IT service subscriptions are typically billed on a monthly basis in advance.

Payment Terms: Invoices are due within 15 days of the invoice date unless otherwise specified.

Late Payments: Synex Nepal reserves the right to charge a late fee of 1.5% per month on overdue balances.

Suspension of Service: We reserve the right to suspend IT support and Services if payments are delayed by more than 15 days, following written notice.
5. Warranties & Disclaimers

Best Efforts: Synex Nepal will perform all Services in a professional and workmanlike manner.

No Absolute Guarantee: While we implement robust cybersecurity and monitoring measures, no IT environment is 100% immune to malware, ransomware, or cyberattacks. Synex Nepal does not guarantee uninterrupted service or absolute security against third-party malicious acts.

“As Is” Website: The Synex Nepal website is provided “as is” without any warranties regarding accuracy, uptime, or absence of errors.
6. Limitation of Liability
To the maximum extent permitted by the laws of Nepal:

Synex Nepal shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to lost profits, business interruption, or loss of data, arising out of the use or inability to use our Services.

In no event shall Synex Nepal’s total liability to the Client exceed the total amount paid by the Client to Synex Nepal for the specific Services in the three (3) months immediately preceding the event giving rise to the claim.
7. Confidentiality & Data Protection

Confidentiality: Both parties agree to keep all business, technical, and financial information received from the other party strictly confidential and not disclose it to third parties without prior written consent.

Client Data: Synex Nepal will access Client data only as necessary to perform the Services. We will take reasonable precautions to protect Client data in accordance with our [Link to Privacy Policy].
8. Intellectual Property

All pre-existing intellectual property owned by Synex Nepal (including scripts, software configurations, and proprietary processes) remains the sole property of Synex Nepal.

The Client retains all ownership rights to their proprietary data, content, and software licenses.
9. Term & Termination

Term: The duration of the Services will be defined in the Client’s specific MSA or SOW.

Termination for Convenience: Either party may terminate the monthly managed services agreement by providing [e.g., 30 days] written notice.

Termination for Cause: Either party may terminate the agreement immediately if the other party fundamentally breaches these Terms and fails to cure the breach within 15 days of written notice.

Upon termination, the Client must pay for all Services rendered up to the date of termination.
10. Non-Solicitation
During the term of active Services and for a period of 12 months thereafter, the Client agrees not to directly or indirectly solicit, hire, or engage any employee or contractor of Synex Nepal without our prior written consent.
11. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Nepal. Any disputes arising out of or related to these Terms or our Services shall be subject to the exclusive jurisdiction of the courts located in [e.g., Kathmandu, Nepal].
12. Changes to these Terms
